TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUYRAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Either party may terminate these Terms at any time with or without cause. Upon termination:

• Your access to the Service will be immediately suspended
• You must cease all use of our data and technology
• Any outstanding fees become immediately due and payable
• Provisions that by their nature should survive termination will remain in effect

We may terminate your access immediately if you violate these Terms or engage in prohibited activities.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

You waive any right to participate in a class action lawsuit or class-wide arbitration against BuyrAI.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on our website
• Sending notice to your registered email address
• Providing notice through the Service interface

Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and BuyrAI.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms at any time without restriction.
